Giri\u015f<\/span><\/h3>\n<p data-start=\"379\" data-end=\"860\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">T\u00fcrkiye&#8217;de gayrimenkul sekt\u00f6r\u00fcn\u00fcn geli\u015fmesi, \u015fehir merkezlerindeki arsa de\u011ferlerinin artmas\u0131 ve kentsel d\u00f6n\u00fc\u015f\u00fcm projelerinin yayg\u0131nla\u015fmas\u0131yla birlikte kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri uygulamada en s\u0131k kar\u015f\u0131la\u015f\u0131lan s\u00f6zle\u015fme t\u00fcrlerinden biri haline gelmi\u015ftir. \u00d6zellikle b\u00fcy\u00fck\u015fehirlerde bulunan eski yap\u0131lar\u0131n yenilenmesi, deprem riskine kar\u015f\u0131 g\u00fcvenli konutlar\u0131n in\u015fa edilmesi ve arsa sahiplerinin ta\u015f\u0131nmazlar\u0131n\u0131 de\u011ferlendirmek istemeleri, bu s\u00f6zle\u015fmelere olan ilgiyi art\u0131rmaktad\u0131r.<\/span><\/p>\n<p data-start=\"862\" data-end=\"1299\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat modeli, teorik olarak hem arsa sahibi hem de m\u00fcteahhit a\u00e7\u0131s\u0131ndan kazan\u00e7 sa\u011flayan bir i\u015f birli\u011fi mekanizmas\u0131d\u0131r. Arsa sahibi herhangi bir in\u015faat finansman\u0131 \u00fcstlenmeden yeni ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlere kavu\u015furken, m\u00fcteahhit de y\u00fcksek maliyetli bir arsa sat\u0131n almaks\u0131z\u0131n proje geli\u015ftirme imk\u00e2n\u0131 elde etmektedir. Bu nedenle sistem, uzun y\u0131llard\u0131r T\u00fcrk in\u015faat sekt\u00f6r\u00fcn\u00fcn temel finansman modellerinden biri olarak kullan\u0131lmaktad\u0131r.<\/span><\/p>\n<p data-start=\"1301\" data-end=\"1771\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Bununla birlikte uygulamada ortaya \u00e7\u0131kan uyu\u015fmazl\u0131klar incelendi\u011finde, kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinin ayn\u0131 zamanda en fazla dava konusu olan s\u00f6zle\u015fmeler aras\u0131nda yer ald\u0131\u011f\u0131 g\u00f6r\u00fclmektedir. \u0130n\u015faat\u0131n s\u00fcresinde tamamlanmamas\u0131, eksik veya ay\u0131pl\u0131 imalatlar, ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerin teslim edilmemesi, tapu devri sorunlar\u0131, m\u00fcteahhidin mali g\u00fc\u00e7l\u00fck ya\u015famas\u0131 veya iflas etmesi gibi sebepler, arsa sahipleri ile y\u00fckleniciler aras\u0131nda ciddi hukuki ihtilaflara yol a\u00e7abilmektedir.<\/span><\/p>\n<p data-start=\"1773\" data-end=\"2324\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">\u00d6zellikle son y\u0131llarda ya\u015fanan ekonomik dalgalanmalar, in\u015faat maliyetlerindeki art\u0131\u015flar ve baz\u0131 projelerin yar\u0131m kalmas\u0131, arsa sahiplerinin s\u00f6zle\u015fme imzalamadan \u00f6nce \u00e7ok daha dikkatli davranmalar\u0131n\u0131 gerekli hale getirmi\u015ftir. Uygulamada bir\u00e7ok arsa sahibinin yaln\u0131zca ka\u00e7 daire veya i\u015fyeri alaca\u011f\u0131na odakland\u0131\u011f\u0131, ancak s\u00f6zle\u015fmenin di\u011fer h\u00fck\u00fcmlerini yeterince incelemedi\u011fi g\u00f6r\u00fclmektedir. Oysa ger\u00e7ek riskler \u00e7o\u011fu zaman teslim s\u00fcrelerinde, teminat h\u00fck\u00fcmlerinde, metrekare hesaplar\u0131nda, ortak alan d\u00fczenlemelerinde ve fesih \u015fartlar\u0131nda ortaya \u00e7\u0131kmaktad\u0131r.<\/span><\/p>\n<p data-start=\"2326\" data-end=\"2696\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Bu nedenle <a href=\"https:\/\/www.bicakhukuk.com\/en\/sozlesme-danismanligi-hazirlama-inceleme-ve-yorumlama\/\" target=\"_blank\" rel=\"noopener\">kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi <\/a>yaln\u0131zca bir in\u015faat anla\u015fmas\u0131 de\u011fil; ayn\u0131 zamanda y\u00fcksek ekonomik de\u011fere sahip, teknik, ticari ve hukuki boyutlar\u0131 bulunan karma\u015f\u0131k bir s\u00f6zle\u015fme ili\u015fkisidir. S\u00f6zle\u015fmenin haz\u0131rlanmas\u0131 a\u015famas\u0131nda yap\u0131lacak k\u00fc\u00e7\u00fck bir hata, ilerleyen y\u0131llarda arsa sahibi veya m\u00fcteahhit a\u00e7\u0131s\u0131ndan milyonlarca liral\u0131k kay\u0131plara neden olabilmektedir.<\/span><\/p>\n<h3><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">2. Kat Kar\u015f\u0131l\u0131\u011f\u0131 \u0130n\u015faat S\u00f6zle\u015fmesi Nedir?<\/span><\/h3>\n<p class=\"isSelectedEnd\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><a href=\"https:\/\/www.bicakhukuk.com\/en\/sozlesme-danismanligi-hazirlama-inceleme-ve-yorumlama\/\" target=\"_blank\" rel=\"noopener\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi<\/a>, bir arsa sahibinin arsas\u0131n\u0131 de\u011ferlendirmek amac\u0131yla bir m\u00fcteahhit ile yapt\u0131\u011f\u0131 ve m\u00fcteahhidin arsa \u00fczerinde bina in\u015fa ederek belirli ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri arsa sahibine devretmeyi \u00fcstlendi\u011fi karma nitelikli bir s\u00f6zle\u015fmedir.\u00a0Uygulamada &#8220;<em>arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi<\/em>&#8220;, &#8220;<em>kat kar\u015f\u0131l\u0131\u011f\u0131 bina yap\u0131m s\u00f6zle\u015fmesi<\/em>&#8221; veya &#8220;<em>kentsel d\u00f6n\u00fc\u015f\u00fcm s\u00f6zle\u015fmesi<\/em>&#8221; olarak da adland\u0131r\u0131lmaktad\u0131r. \u00d6zellikle b\u00fcy\u00fck\u015fehirlerde ve kentsel d\u00f6n\u00fc\u015f\u00fcm projelerinde yayg\u0131n olarak kullan\u0131lan bu model, arsa sahiplerinin in\u015faat maliyetine katlanmadan ta\u015f\u0131nmazlar\u0131n\u0131 de\u011ferlendirmelerine imk\u00e2n sa\u011flamaktad\u0131r.<\/span><\/p>\n<p class=\"isSelectedEnd\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Hukuki a\u00e7\u0131dan kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri; eser s\u00f6zle\u015fmesi, ta\u015f\u0131nmaz sat\u0131\u015f vaadi ve arsa pay\u0131 devri unsurlar\u0131n\u0131 birlikte i\u00e7eren karma s\u00f6zle\u015fmelerdir. Bu nedenle s\u00f6zle\u015fmenin haz\u0131rlanmas\u0131 a\u015famas\u0131nda taraflar\u0131n hak ve y\u00fck\u00fcml\u00fcl\u00fcklerinin a\u00e7\u0131k \u015fekilde belirlenmesi b\u00fcy\u00fck \u00f6nem ta\u015f\u0131r. Uygulamada ortaya \u00e7\u0131kan uyu\u015fmazl\u0131klar\u0131n \u00f6nemli bir b\u00f6l\u00fcm\u00fc; teslim s\u00fcresi, ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm payla\u015f\u0131m\u0131, eksik veya ay\u0131pl\u0131 imalatlar, teminat eksikli\u011fi ve s\u00f6zle\u015fmenin belirsiz h\u00fck\u00fcmlerinden kaynaklanmaktad\u0131r. Bu nedenle s\u00f6zle\u015fmenin imzalanmas\u0131ndan \u00f6nce hukuki inceleme yap\u0131lmas\u0131, ileride ortaya \u00e7\u0131kabilecek uyu\u015fmazl\u0131klar\u0131n \u00f6nlenmesi bak\u0131m\u0131ndan kritik \u00f6neme sahiptir.<\/span><\/p>\n<h3><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">3. Kat Kar\u015f\u0131l\u0131\u011f\u0131 \u0130n\u015faat S\u00f6zle\u015fmesinin Hukuki Niteli\u011fi<\/span><\/h3>\n<p class=\"isSelectedEnd\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi, <a href=\"http:\/\/www.mevzuat.gov.tr\/MevzuatMetin\/1.5.6098.pdf\" target=\"_blank\" rel=\"noopener\">T\u00fcrk Bor\u00e7lar Kanunu<\/a>&#8216;nda \u00f6zel olarak d\u00fczenlenmi\u015f bir s\u00f6zle\u015fme t\u00fcr\u00fc de\u011fildir. Bununla birlikte Yarg\u0131tay&#8217;\u0131n yerle\u015fik i\u00e7tihatlar\u0131nda, bu s\u00f6zle\u015fmelerin eser s\u00f6zle\u015fmesi ile ta\u015f\u0131nmaz sat\u0131\u015f vaadi s\u00f6zle\u015fmesinin unsurlar\u0131n\u0131 birlikte ta\u015f\u0131yan karma nitelikli s\u00f6zle\u015fmeler oldu\u011fu kabul edilmektedir.\u00a0S\u00f6zle\u015fme kapsam\u0131nda m\u00fcteahhit, projeye uygun \u015fekilde in\u015faat\u0131 tamamlamay\u0131 ve s\u00f6zle\u015fmede kararla\u015ft\u0131r\u0131lan ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri arsa sahibine teslim etmeyi \u00fcstlenirken; arsa sahibi de belirlenen arsa paylar\u0131n\u0131 veya ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri m\u00fcteahhide devretmeyi taahh\u00fct etmektedir.\u00a0Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri yaln\u0131zca bir in\u015faat yap\u0131m s\u00f6zle\u015fmesi de\u011fildir. Ayn\u0131 zamanda y\u00fcksek ekonomik de\u011fere sahip ta\u015f\u0131nmazlar\u0131n payla\u015f\u0131m\u0131n\u0131 d\u00fczenledi\u011finden, s\u00f6zle\u015fmenin \u015fekli, kapsam\u0131 ve i\u00e7eri\u011fi b\u00fcy\u00fck \u00f6nem ta\u015f\u0131maktad\u0131r. Bu nedenle uygulamada s\u00f6zle\u015fmenin noter huzurunda d\u00fczenleme \u015feklinde yap\u0131lmas\u0131 ve tapu i\u015flemleri ile uyumlu \u015fekilde haz\u0131rlanmas\u0131 tavsiye edilmektedir.<\/span><\/p>\n<h4><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">4. Kat Kar\u015f\u0131l\u0131\u011f\u0131 \u0130n\u015faat S\u00f6zle\u015fmesinde Bulunmas\u0131 Gereken Temel H\u00fck\u00fcmler<\/span><\/h4>\n<p class=\"isSelectedEnd\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde ortaya \u00e7\u0131kan uyu\u015fmazl\u0131klar\u0131n \u00f6nemli bir b\u00f6l\u00fcm\u00fc eksik veya belirsiz s\u00f6zle\u015fme h\u00fck\u00fcmlerinden kaynaklanmaktad\u0131r. Bu nedenle a\u015fa\u011f\u0131daki hususlar\u0131n a\u00e7\u0131k ve ayr\u0131nt\u0131l\u0131 \u015fekilde d\u00fczenlenmesi gerekir:<\/span><\/p>\n<ul>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>Taraflar\u0131n Kimlik ve Yetki Bilgileri<\/strong>:\u00a0Arsa sahiplerinin tamam\u0131n\u0131n s\u00f6zle\u015fmede yer almas\u0131, t\u00fczel ki\u015fi m\u00fcteahhitlerin ise temsil ve ilzama yetkili ki\u015filer arac\u0131l\u0131\u011f\u0131yla i\u015flem yapmas\u0131 gerekir.<\/span><\/li>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>\u0130n\u015faat\u0131n Teknik \u00d6zellikleri<\/strong>:\u00a0Yap\u0131n\u0131n s\u0131n\u0131f\u0131, kullan\u0131lacak malzemeler, ortak alanlar, otoparklar, sosyal donat\u0131lar ve teknik \u015fartnameler ayr\u0131nt\u0131l\u0131 \u015fekilde belirtilmelidir.<\/span><\/li>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>Ba\u011f\u0131ms\u0131z B\u00f6l\u00fcm Payla\u015f\u0131m\u0131<\/strong>:\u00a0Arsa sahibine ve m\u00fcteahhide b\u0131rak\u0131lacak ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmler a\u00e7\u0131k \u015fekilde g\u00f6sterilmeli; kat, cephe, b\u00fcy\u00fckl\u00fck ve kullan\u0131m amac\u0131 bak\u0131m\u0131ndan herhangi bir teredd\u00fcde yer verilmemelidir.<\/span><\/li>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>\u0130n\u015faat\u0131n Tamamlanma S\u00fcresi<\/strong>:\u00a0Teslim tarihi net olarak belirlenmeli, m\u00fccbir sebep halleri d\u0131\u015f\u0131nda s\u00fcre uzat\u0131m\u0131na ili\u015fkin h\u00fck\u00fcmler dikkatle incelenmelidir.<\/span><\/li>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>Gecikme Tazminat\u0131 ve Cezai \u015eart<\/strong>:\u00a0M\u00fcteahhidin in\u015faat\u0131 zaman\u0131nda tamamlamamas\u0131 halinde uygulanacak yapt\u0131r\u0131mlar a\u00e7\u0131k \u015fekilde d\u00fczenlenmelidir.<\/span><\/li>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>Teminatlar<\/strong>:\u00a0Arsa sahiplerinin haklar\u0131n\u0131 korumak amac\u0131yla banka teminat mektubu, ipotek veya di\u011fer g\u00fcvence mekanizmalar\u0131 de\u011ferlendirilmelidir.<\/span><\/li>\n<li><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\"><strong>Yap\u0131 Kullanma \u0130zni (\u0130sk\u00e2n)<\/strong>:\u00a0 \u0130sk\u00e2n belgesinin al\u0131nmas\u0131ndan kimin sorumlu olaca\u011f\u0131 ve masraflar\u0131n nas\u0131l payla\u015f\u0131laca\u011f\u0131 s\u00f6zle\u015fmede g\u00f6sterilmelidir.<\/span><\/li>\n<\/ul>\n<h3><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">5. Arsa Sahibinin S\u00f6zle\u015fme \u0130mzalamadan \u00d6nce Dikkat Etmesi Gereken Hususlar<\/span><\/h3>\n<p class=\"isSelectedEnd\"><span style=\"font-family: 'times new roman', times, serif; font-size: 14pt;\">Uygulamada bir\u00e7ok arsa sahibi, yaln\u0131zca ka\u00e7 ba\u011f\u0131ms\u0131z b\u00f6l\u00fcm alaca\u011f\u0131na odaklanmakta ve s\u00f6zle\u015fmenin di\u011fer h\u00fck\u00fcmlerini ikinci planda b\u0131rakmaktad\u0131r.
